Governance, Management and Advisory Policy

Purpose

The purpose of this policy is to delineate the central role of the governance entity responsible for setting policies in relation to the administrative and academic entities that are implementing the policies to operate the University as well as any advisory entities, if any, to the management entities. 

Scope

This is an institution-wide policy, affecting trustees, faculty, staff, and students.

“In order to qualify for a license, a postsecondary degree granting educational institution shall clearly delineate the governance structure of the institution and the responsibilities for control of the operation of the institution and its programs. The postsecondary degree granting educational institution shall identify the governance policies established or to be established, severally or jointly, by the following: (a) Its governing body; (b) The chief executive officer; (c) Other administrative officers; (d) Faculty members; and (e) Others, if applicable.”

Compliance/Policy Statement 

The Board of Trustees

Parami University will be governed by the Board of Trustees of Parami University, which exercises the ultimate governing authority of the University. It is the Board of Trustees that sets the policies and the direction of the University. 

The Board of Trustees is responsible for 1) demonstrating leadership of the University, 2) promoting the mission of the University, 3) keeping the University financially solvent, 4) fostering positive external relations of the University, 5) ensuring compliance with government regulations and law, and 6) perpetuating its own existence for the University. Only the Board of Trustees can change the policies that govern themselves. The membership structure of the Board of Trustees and their operative regulations are articulated in the Articles of Incorporation and the By-Laws of the Board of Trustees, which will be made available on a web page titled ‘Governance, Management, and Advisory Bodies’. 

Management and Advisory Entities

There will be two management entities: Academic Department and Administrative Department. The President is the Chief Executive and Academic Officer with overall responsibility for the operations of the University appointed by the Board of Trustees to lead both departments. The President appoints Dean(s) to manage day-to-day affairs of the units of the Academic Department and appoints Directors to manage day-to-day affairs of the units of the Administrative Department. 

The University Council may be formed when the Board of Trustees deems it necessary to serve as an advisory body to the University Management. 

(1) Academic Department: The Academic Department is responsible for implementing policies related to the academic program of the University. The Academic Department is responsible for reviewing the academic needs of the University, providing academic instruction and programs, maintaining the academic integrity of the University, ensuring that high academic 12 quality and standards are adhered to, modifying the curriculum of the University to meet the needs of the environment and the society, and recommending students to the Board of Trustees to confer academic degrees upon completing graduation requirements. The Academic Department may create necessary divisions, units, and committees to discharge its duties with the approval of the President. The Academic Department may also be charged to recommend academic policies (to enhance student success), when needed, for approval by the Board of Trustees. When the University has substantial academic staff and the Board of Trustees deems it necessary, an Academic Senate shall be established to serve as an advisory body to the Academic Department.

(2) Administrative Department: The Administrative Department is responsible for implementing policies related to the operations of the University. The Administrative Department is responsible for recruiting and admitting students, managing financial aid packages, administering payroll and human resources services, maintaining and enhancing necessary technological infrastructure, fundraising and managing donor relations, and complying with legal and accreditation matters. The Administrative Department may create necessary offices, units, committees to effectively discharge its duties with the approval of the President. The Administrative Department may also be charged to draft administrative policies, when needed, for approval by the Board of Trustees. When the University has substantial operations and the Board of Trustees deems it necessary, the Administrative Board may be established to serve as an advisory body to the Administrative Department. 

Review

The Board of Trustees is responsible for ensuring compliance with this policy in various offices of the University.
